2. Definitions
2.1) Emballage Indberetning: The producer responsibility organisation (PRO) Emballage Indberetning ApS, CVR no.: 45304418.
2.2) The Member: A natural or legal entity that has entered into an agreement with Emballage Indberetning ApS as a PRO, under the relevant EU or national producer responsibility legislation, whether this concerns packaging, single-use plastic, fishing gear, electronics or batteries.
2.3) The Legislation: The producer responsibility legislation for packaging, single-use plastic, fishing gear, electronics and batteries applicable from time to time.
2.4) The Terms: The Terms and Conditions of Emballage Indberetning applicable from time to time.
2.5) The words Producer, Importer, Distributor, Authorised Representative and packaging shall have the same meaning as in the Legislation.
3. Formation of the agreement and acceptance of the terms
3.1) The agreement between Emballage Indberetning and the Member is only formed when the Member pays the membership fee. Emballage Indberetning's duty as a PRO for the Member therefore only takes effect when the Member pays the fee.
3.2) By paying the fee, the Member accepts the Terms, which are made available to the Member before payment.
4. Scope
4.1) The Terms apply to all matters between Emballage Indberetning and the Member, unless other, more specific terms and conditions have been agreed between the parties, in which case the more specific terms take precedence.
4.2) If another written agreement has been entered into between Emballage Indberetning and the Member, and there are divergent matters between such an agreement and the Terms, the other written agreement takes precedence over the Terms.
5. Membership period
5.1) The membership runs for a period of 12, 24 or 36 months chosen by the Member when signing up.
5.2) If the membership is not cancelled, it renews automatically for a corresponding period at the prices applicable from time to time. On renewal, a payment deadline of 7 days applies. If payment is not made on time, Emballage Indberetning may then charge the amount directly to the Member's account.
6. Cancellation
6.1) Cancellation of membership must be made in writing and takes effect immediately when Emballage Indberetning receives the cancellation. On cancellation, the Member must at the same time state the volume of packaging, single-use plastic, fishing gear, electronics and/or batteries placed on the market and made available in the current month/quarter up to the date of cancellation.
6.2) If cancellation takes place before the end of the chosen membership period, no proportionate part of the membership fee is refunded.
7. The Member's obligations
7.1) The Member is responsible for and obliged to:
7.1.1) Provide correct, complete and timely information about the volume and type of packaging, single-use plastic, fishing gear, electronics and/or batteries placed on the market in accordance with the Legislation. The information must be provided in accordance with Emballage Indberetning's instructions and reporting form.
7.1.2) Meet the reporting deadlines set by Emballage Indberetning. Emballage Indberetning is entitled to set a provisional estimate of the volumes placed on the market if the Member has not reported on time.
7.1.3) Inform Emballage Indberetning of changes to the company's ownership, address or contact details.
7.1.4) Pay invoices to Emballage Indberetning on time and correctly, whether these concern the membership fee, the environmental contribution, disbursements to authorities or anything else.
7.2) The Member warrants the accuracy of the data reported.
7.3) If the Member has provided incorrect information, the Member must inform Emballage Indberetning of this as soon as practically possible.
7.4) Missing reporting or incorrect information may result in:
- 7.4.1) A demand for supplementary payment
- 7.4.2) Charging of fees for administrative handling
- 7.4.3) Invoicing on the basis of estimated volumes
7.5) The Member is obliged to give Emballage Indberetning access to and the opportunity to carry out self-inspection at the Member in accordance with the Legislation. The Member is obliged to assist Emballage Indberetning actively and loyally with carrying out the self-inspection, including by giving Emballage Indberetning access to data, systems and documentation concerning volumes and other information that Emballage Indberetning requests. Emballage Indberetning must give reasonable notice of the self-inspection of at least 5 days.
7.6) The costs associated with carrying out the self-inspection are borne by:
- 7.6.1) The Member, if it is established that the information reported by the Member was not correct.
- 7.6.2) Emballage Indberetning, if it is established that the information reported by the Member was correct.
7.7) The Member's failure to comply with the obligations in the terms and/or the Legislation constitutes a material breach and releases Emballage Indberetning from performing its service.
8. Emballage Indberetning's obligations
8.1) Emballage Indberetning undertakes to carry out the duties of a PRO as described in more detail in the Legislation, including:
- 8.1.1) Reporting of the Member's volumes.
- 8.1.2) Invoicing and settlement of statutory duties and fees.
8.2) Emballage Indberetning may at any time use subcontractors to perform Emballage Indberetning's obligations under the agreement.
9. Prices and fees
9.1) The Member pays:
9.1.1) An annual membership fee to Emballage Indberetning.
9.1.2) Any administration surcharge to Emballage Indberetning in the event of:
- Reporting of more than the applicable de minimis threshold,
- The Member's request for a detailed report,
- Incorrect reporting made by the Member.
9.1.3) A set-up fee to Dansk Producentansvar (DPA) and an annual fee to Dansk Producentansvar and the Danish Energy Agency.
9.1.4) A volume-based contribution depending on the volumes reported and the material type (the environmental contribution).
- Members reporting under 8 tonnes report and are invoiced quarterly.
- Members reporting from 8 tonnes report and are invoiced monthly.
9.2) The prices applicable from time to time can be accessed on Emballage Indberetning's website: emballageindberetning.dk/en/prices
9.3) Payment falls due in accordance with the invoice. After the due date, Emballage Indberetning may charge the amount to the Member's account.
10. Publication of membership
10.1) The Member consents to it being stated on the PRO's website or on similar publicly available lists that the company is a member of the PRO.
11. Liability and limitation of liability
11.1) The Member has full responsibility for the accuracy of the information reported.
11.2) Emballage Indberetning cannot be held liable for indirect loss, operating loss or lost profit.
11.3) Emballage Indberetning's total liability for any claim is limited to five times the annual membership fee paid by the Member in the relevant calendar year.
11.4) The Member agrees to indemnify Emballage Indberetning against any claim, loss, cost or liability, including legal action and enforcement by authorities, that may arise as a result of:
- The Member's failure to provide the information it is obliged to give Emballage Indberetning, or the provision of incorrect, inaccurate, misleading, delayed or incomplete information,
- The Member's failure to pay amounts due under the Terms, and/or
- The Member's other breaches of the Terms or the Legislation.
If Emballage Indberetning acts as authorised representative for the Member, the indemnity also covers any fines, damages or other costs that Emballage Indberetning may be ordered to pay in connection with civil, administrative or criminal proceedings caused by the Member's breach of its obligations.
12. Force majeure
12.1) Emballage Indberetning is not liable for failure to fulfil its obligations under these terms if this is due to circumstances beyond Emballage Indberetning's control that Emballage Indberetning could not reasonably have foreseen or avoided.
12.2) Force majeure includes, among other things, orders from authorities, war, natural disasters, strikes, lockouts, fire, pandemic, breakdown of IT or communication systems and similar extraordinary circumstances.
13. Changes to the Terms
13.1) Emballage Indberetning may change the Terms with 30 days' notice. Notice is given on Emballage Indberetning's website.
14. Personal data
14.1) Emballage Indberetning processes personal data, for which reference is made to the applicable privacy policy, available on the website emballageindberetning.dk/en/privacy-policy.
15. Governing law and venue
15.1) Any matter between the Member and Emballage Indberetning is governed by Danish law.
15.2) Any dispute between the Member and Emballage Indberetning must be decided under Danish law by the Copenhagen City Court as court of first instance.
In case of any discrepancy between the Danish and English versions, the Danish version prevails.
